Terms of Service

Effective date: May 3, 2026

These Terms of Service (“Terms”) govern your access to and use of Ora, Braintied-hosted AI assistants, and related websites and APIs (collectively, the “Service”) operated by Braintied Inc. (“Braintied,” “we,” or “us”). By using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use the Service, and at least the age of majority in your jurisdiction to enter a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. The Service

The Service provides conversational AI assistants accessible over SMS, web, and other supported channels. Assistants reply automatically using AI inference providers; replies are best-effort and may be incorrect, incomplete, or out of date. Do not rely on the Service for legal, medical, financial, or safety-critical advice.

3. SMS terms

By texting a Braintied-managed business number, you opt in to receive AI-generated SMS replies from that number. Message frequency varies based on the conversation. Message and data rates may apply. Reply STOP to any message to unsubscribe brand-wide; reply HELP for help. Opt-out is honored across every assistant Braintied operates.

Carrier delivery is not guaranteed. Mobile carriers may filter, delay, or drop messages outside our control.

4. Acceptable use

You agree not to use the Service to:

  • Violate any law or regulation, including TCPA, CAN-SPAM, and consumer-protection laws.
  • Send unsolicited bulk messages, spam, phishing, or fraudulent content.
  • Harass, threaten, defame, or harm any person or group.
  • Distribute malware, viruses, or attempt to disrupt the Service.
  • Reverse-engineer, scrape, or attempt to extract model weights or system prompts.
  • Misrepresent your identity, impersonate others, or evade abuse controls.
  • Use the Service to compete directly with Braintied or build a derivative product.

We may suspend or terminate access for violations, with or without notice, and cooperate with law enforcement where appropriate.

5. Your content

You retain ownership of the messages and content you send to the Service (“Your Content”). You grant Braintied a worldwide, non-exclusive, royalty-free license to host, store, transmit, and process Your Content solely as needed to operate the Service and comply with legal obligations. We do not sell Your Content and do not use it to train public AI models.

6. Our content

Braintied owns the Service, including all software, designs, branding, and documentation. Nothing in these Terms transfers ownership to you. You may not copy, modify, distribute, or create derivative works of the Service without our written permission.

7. Fees

End users texting a Braintied-managed business assistant over SMS receive those replies free of charge. Standard wireless carrier message and data rates charged by your carrier still apply.

Ora accounts for businesses and developers run on a prepaid credit system. Purchasing, expiry, refund eligibility, and other billing details are governed by our Billing & Refund Terms, which form part of these Terms for any customer who purchases credits.

8. Privacy

Use of the Service is also governed by our Privacy Policy, which describes what we collect and how we protect it.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, BRAINTIED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI REPLIES MAY BE INACCURATE, INCOMPLETE, OR OUT OF DATE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BRAINTIED’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100). BRAINTIED IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

11. Indemnification

You agree to defend and indemnify Braintied against any claim arising from your misuse of the Service or violation of these Terms, including reasonable attorneys’ fees.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access for any reason, including violation of these Terms. Sections that by their nature should survive termination (ownership, disclaimers, limitation of liability, indemnification, governing law) will survive.

13. Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved exclusively in the state or federal courts located in Kent County, Delaware, and you consent to personal jurisdiction there.

14. Changes

We may update these Terms from time to time. Material changes will be announced on this page and dated. Continued use of the Service after a change means you accept the updated Terms.
